BANK OF AMERICA, N.A., a national banking association, as administrative agent for itself and certain other lenders (in such capacity, the "Secured Party" ), having an address at 5414 Pinnacle Point Drive, Suite 401, Rogers, Arkansas 72758, Attn: Mr. Scott Ward, telephone number (479) 553-5114, will offer the below described property (the "Collateral" ) for sale pursuant to Section 9-610 of Article 9 of the Uniform Commercial Code, as adopted in the State of Georgia, at public auction on Monday, January 25, 2010, beginning at 3:00 p.m . The Collateral is described as follows:

All right, title and interest of Debtor in and to the following:

i. Any and all contracts for sale, lease or other transfer of all or any portion of the real property of Debtor (the " Land" );

ii. All improvements located on the Land (the "Improvements" );

iii. All claims, actions and causes of action, both in law and in equity, with respect to the Land or the Improvements;

iv. all equipment, systems, machinery, furniture, furnishings, appliances, inventory, goods, building and construction materials, supplies, and articles of personal property, of every kind and character, now owned or hereafter acquired by Debtor, which are now or hereafter attached to or situated in, on or about the Land or the Improvements, or solely used in or necessary to the complete and property planning, development, use, occupancy or operation thereof, or acquired (whether delivered to the Land or stored elsewhere) for use or installation in or on the Land or the Improvements, and all renewals and replacements of, substitutions for and additions to the foregoing;

v. All of Debtor's interest in (a) plans and specifications for the Improvements, (b) Debtor's rights, but not liability for any breach by Debtor, under all commitments, insurance policies (to the extent applicable to the Land and the Improvements), contracts and agreements for the design, construction, operation or inspection of the Improvements and other contracts and general intangibles (including but not limited to trademarks, trade names, goodwill and symbols) related solely to the Land or the Improvements or the operation thereof; (c) deposits (including but not limited to Debtor's rights in tenants' security deposits, deposits with respect to utility services to the Land and the Improvements, and any deposits or reserves under any of the Loan Documents for taxes, insurance or otherwise), rebates or refunds of impact fees or other taxes, assessments or charges, money, accounts, instruments, documents, note and chattel paper arising from or by virtue of any transactions related to the Land or the Improvements; (d) permits, licenses, franchises, certificates, development rights, commitments and rights for utilities, and other rights and privileges obtained in connection with the Land or the Improvements; (e) leases, rents, royalties, bonuses, issues, profits, revenues and other benefits of the Land or the Improvements; (f) fees, charges, accounts or other payments for the use or occupancy of rooms or other public facilities of the Land or the Improvements; and (g) engineering, accounting, title, legal and other technical or business data solely concerning the Land or the Improvements which are in the possession of Debtor or in which Debtor can otherwise grant a security interest; and

vi. All (a) proceeds of or arising from the properties, rights, titles and interests referred to above, including but not limited to proceeds of any sale, lease or other disposition thereof, proceeds of each policy of insurance relating thereto (including premium refunds), proceeds of the taking thereof or of any rights appurtenant thereto, including change of grade of streets, curb cuts or other rights of access, but eminent domain or transfer in lieu thereof for public or quasi-public use under any law, and proceeds arising out of any damage thereto; and (b) other interests of every kind and character which Debtor now has or hereafter acquires solely in, to or for the benefit of the properties, rights, titles and interests referred to above and all property used or useful solely in connection therewith.

TOGETHER WITH all of Debtor's rights and privileges, if any, to modify, terminate or waive performance of any of the aforementioned contracts, documents or agreements.

The Security Instruments and other Loan Documents are in default as a result of, among other things, Debtor's failure to pay when due certain payments due under the Loan Documents, and the indebtedness secured thereby is now immediately due and payable in full. Debtor is entitled to an accounting of the unpaid indebtedness free of charge.

The Collateral will be offered for sale as either a single lot or separate lots in Secured Party's discretion. All interested prospective purchasers are invited to attend and bid at the UCC Sale.

Secured Party reserves the right to accept or reject any bid and shall not be obligated to conduct any sale pursuant to this notice (but if any such sale of the Collateral is conducted, the Collateral will be sold to the highest bidder at such sale). Secured Party (through itself or any designated affiliate) reserves the right to bid and to become the purchaser at the UCC Sale to be held pursuant to this notice and to credit against the purchase price of the Collateral any and all indebtedness of Debtor to Secured Party that is secured by the Loan Documents.

THE COLLATERAL WILL BE SOLD PURSUANT TO A SECURED PARTY BILL OF SALE AND OTHER APPROPRIATE TRANSFER DOCUMENTS ON AN "AS IS, WHERE IS, WITH ALL FAULTS" BASIS AND WITHOUT RECOURSE, REPRESENTATION, EXPRESS OR IMPLIED WARRANTIES OF ANY KIND OR NATURE WHATSOEVER, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATION OR WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SPECIFICALLY, BUT WITHOUT LIMITATION OF THE FOREGOING, THERE WILL BE NO WARRANTY RELATING TO TITLE, POSSESSION, QUIET ENJOYMENT OR THE LIKE OR ANY OTHER MATTER IN THIS DISPOSITION AND NO REPRESENTATION OR WARRANTY IS OR WILL BE MADE AS TO ANY OF THE COLLATERAL.
